Terms of service
Last updated 14 October 2026.
1. About us
MinderSprout is provided by Squelch Ltd, a company registered in England and Wales with company number 17405508 and registered office 66 Paul Street, London, EC2A 4NA, United Kingdom (“we”, “us”). These terms are a legal agreement between you and us.
2. The service
MinderSprout lets a childcare setting (“the setting”) keep records of children, share daily diaries and photos with parents, exchange messages, and manage invoicing. A setting subscribes; the parents and staff it invites use it under the setting's account.
3. Accounts
You must provide accurate information and keep your sign-in credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorised use.
4. Your responsibilities as a setting
The setting is the controller of the personal data it enters about children and families, and we are its processor. The setting must:
- have a lawful basis to process that data, including any special category data (such as allergies and medical notes);
- obtain and record any consent needed — for example, photo consent from a parent or guardian;
- only invite people it is entitled to invite, and keep their access up to date; and
- comply with its own safeguarding and data protection duties.
5. Subscriptions, trial and payment
- Use after any trial requires a paid subscription, billed through Stripe in advance.
- New subscriptions start with a 14-day free trial; you are charged when it ends unless you cancel first.
- Fees are those shown when you subscribe and are inclusive of any applicable taxes.
- You can cancel at any time; cancellation takes effect at the end of the current period and no refund is given for a part period.
- If a payment fails and is not settled within the grace period, the setting is locked (see section 7).
6. Acceptable use
You must not misuse the service, attempt to access data you are not entitled to, upload unlawful content, or use MinderSprout in a way that harms children or other people. We may suspend an account that breaks these terms or the law.
7. Lapsed subscriptions
If a subscription ends or a payment is overdue, the setting is locked and cannot be used by staff or parents, but its data is retained for 90 days. Paying within that window restores the data intact. After 90 days the data may be deleted.
8. Availability and support
We aim to keep the service available but do not promise uninterrupted service. Support is by email to [email protected] and through the in-app help and tickets.
9. Our liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, and our total liability in any 12-month period is limited to the fees the setting paid us in that period. The service is provided “as is”; you are responsible for the accuracy of the data you enter.
10. Data processing terms (UK GDPR Article 28)
Where we process personal data on the setting's behalf, we:
- process it only on the setting's documented instructions, including for international transfers, unless the law requires otherwise;
- keep it confidential and ensure our staff are bound by confidentiality;
- implement appropriate technical and organisational security measures (including encryption in transit and row-level security);
- use only the subprocessors listed on the subprocessors page, and give at least 30 days' notice before adding any;
- assist the setting in responding to data subject requests and in meeting its breach, security and impact-assessment duties;
- notify the setting without undue delay if we become aware of a personal data breach; and
- on termination, delete or return the personal data (subject to the retention in section 7 and any legal retention obligation).
Full details of how data is handled are in our privacy notice.
11. Changes
We may update these terms; for material changes we will give reasonable notice. Continuing to use MinderSprout means you accept the updated terms.
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
